Welcome to NeedleFlow, a comprehensive software-as-a-service (SaaS) platform designed specifically for tattoo studio management. These Terms of Service ("Terms") govern your use of the NeedleFlow platform, including all related features, tools, and services provided by NeedleFlow, Inc. ("we," "us," or "our").

By accessing or using NeedleFlow, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our service.

1. Service Description

NeedleFlow Platform Services

• Tattoo studio management software-as-a-service (SaaS)
• Appointment scheduling and client management tools
• Digital waiver collection and e-signature capabilities
• Payment processing and financial analytics
• Design portfolio management and client communication
• Business analytics and performance insights
• Integration with third-party payment processors

2. User Responsibilities

Studio Owner Obligations

• Maintain accurate and current studio information
• Ensure compliance with local tattoo industry regulations
• Protect client personal information according to applicable laws
• Use the service only for legitimate business purposes
• Maintain appropriate licenses and certifications
• Respect intellectual property rights of designs and artwork

Client Interaction Standards

• Respect client privacy and confidentiality
• Obtain proper consent for design work and photography
• Follow professional conduct standards
• Comply with health and safety regulations
• Maintain professional communication through our platform

3. Service Availability & Limitations

Service Level Expectations

• 99.5% uptime target with planned maintenance windows
• Data backup and recovery procedures
• Technical support during business hours (9 AM - 6 PM EST)
• Regular feature updates and security patches
• 24-hour maximum response time for critical issues

Usage Limitations

• Storage limits based on subscription tier (5GB Basic, 50GB Pro, 500GB Enterprise)
• API rate limiting: 1000 requests per hour for automated integrations
• Prohibition of data scraping or unauthorized access attempts
• Restriction on developing competing services using our platform
• Maximum of 10 simultaneous user sessions per account

4. Payment Terms

Subscription Management

• Monthly or annual billing cycles available
• Automatic renewal unless cancelled 24 hours before renewal date
• Pro-rated refunds for service outages exceeding 24 hours
• 30-day advance notice for price changes
• Free trial period: 30 days with full feature access

Billing and Refunds

• All payments processed securely through Stripe
• Invoices sent via email within 24 hours of payment
• Refund requests must be submitted within 14 days of billing
• Account suspension after 7 days of payment failure
• Data retention for 30 days after account suspension

5. Data Ownership & Security

• Studio retains full ownership of all uploaded content and client data

• Data deletion procedures upon account termination

• No ownership claims by NeedleFlow on user-generated content

6. Intellectual Property

NeedleFlow respects intellectual property rights. Users are responsible for ensuring they have appropriate rights to any content uploaded to the platform. We will respond promptly to valid DMCA takedown notices and maintain a policy of terminating accounts of repeat infringers.

The NeedleFlow platform, including its design, features, and underlying technology, is protected by copyright, trademark, and other intellectual property laws.

7. Limitation of Liability

Our total liability for any claims arising from or related to the service shall not exceed the amount paid by you for the service during the 12 months preceding the claim.

8. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting our support team. We may terminate or suspend your account immediately for violations of these Terms.

Upon termination, your right to use the service will cease immediately. We will provide a reasonable opportunity to export your data, typically 30 days after termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email and through our platform. Continued use of the service after such modifications constitutes acceptance of the updated Terms.
